Terms of Service

By accessing or using QuoteFlow Pro ("the Service") at app.mishhy.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by Mishhy ("we", "us", "our"). By using the Service, you confirm that you are at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization.

QuoteFlow Pro is a web-based RFQ (Request for Quotation) and supplier quote management tool designed for small and mid-size manufacturing businesses. The Service allows users to:

• Create and manage RFQs
• Invite suppliers to submit quotes
• Compare and track supplier quotes
• Manage supplier relationships and performance data

QuoteFlow Pro is currently offered as a free pilot program. During the pilot period:

• Access to the Service is provided free of charge for 60 days
• We may contact you for feedback on your experience
• We reserve the right to introduce paid plans after the pilot period with reasonable notice to existing users
• Pilot access may be revoked at our discretion if these Terms are violated

To use the Service, you must create an account. You are responsible for:

• Keeping your login credentials secure and confidential
• All activity that occurs under your account
• Notifying us immediately at info@mishhy.com if you suspect unauthorized access
• Ensuring your account information is accurate and up to date

You may not share your account with others or create accounts on behalf of third parties without authorization.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, crawl, or extract data from the Service by automated means
• Impersonate any person or organization
• Use the Service for any purpose that competes directly with Mishhy without prior written consent
• Transmit unsolicited commercial messages to other users of the Service

We reserve the right to suspend or terminate accounts that violate these terms without notice.

You retain full ownership of all data you upload or create inside QuoteFlow Pro — including RFQs, supplier records, quotes, and any other content ("Your Data").

By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service to you. We do not claim ownership of Your Data and will never sell it to third parties.

You can request an export or deletion of Your Data at any time by emailing info@mishhy.com.

The Service allows you to invite external suppliers to submit quotes through a supplier portal. You are responsible for:

• Ensuring you have the right to share any RFQ or procurement information with invited suppliers
• Any commitments, representations, or agreements made between you and your suppliers through the Service
• The accuracy of information you provide to suppliers via the Service

We are not a party to any transaction or agreement between you and your suppliers. QuoteFlow Pro is a tracking and communication tool only — not a marketplace or procurement agent.

All intellectual property rights in the Service — including the software, design, branding, and documentation — are owned by Mishhy or our licensors. Nothing in these Terms transfers any intellectual property rights to you.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Service without our prior written consent.

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will give advance notice where possible)
• Unplanned outages or technical issues
• Events beyond our reasonable control

During the free pilot period, we do not offer any uptime guarantee or SLA (Service Level Agreement).

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties including:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• That the Service will be error-free or uninterrupted

Your use of the Service is at your sole risk.

To the maximum extent permitted by applicable law, Mishhy shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business opportunities — arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim. During the free pilot period, this amount is zero.

You agree to indemnify and hold harmless Mishhy, its founders, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any dispute between you and a supplier arising from use of the Service

Either party may terminate these Terms at any time. You may stop using the Service and request account deletion at any time by emailing info@mishhy.com.

We may suspend or terminate your access immediately if:

• You violate these Terms
• We are required to do so by law
• Continued access poses a security or legal risk

Upon termination, your right to use the Service ends immediately. Sections 6, 8, 10, 11, and 12 survive termination.

We may update these Terms from time to time. For significant changes, we will notify active users by email at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

The date at the top of this page reflects the most recent update.

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

If you are accessing the Service from the United States or another jurisdiction, you agree that Indian law governs these Terms regardless of where you are located.
